PROFESSIONAL FOCUS
20+ years of senior-level business and legal experience, with a mix of law firm and in-house practice, providing general legal counsel, advice, and support on a variety of matters including corporate governance, compliance, commercial and procurement contracts, M&A transactions, commercial real estate, employment, intellectual property, and other business decisions which impact client organizations.

CONTRACTS & TRANSACTIONS
Deep experience with contract negotiation, interpretation, drafting, and administration, including complex corporate financings, NDA’s, offer letters, vendor contracts, master services agreements, commercial real estate transactions, easement and assignment agreements, lease agreements, private debt offerings, M&A, joint venture, option agreements, purchase and sale agreements, intellectual property management and protection, regulatory filings, general commercial transactions, and tactical support to internal teams for the purpose of identifying and mitigating risk, as well as improving and streamlining business outcomes by developing templates, forms, and policies and procedures manuals.

CORPORATE GOVERNANCE
Managing regulatory claims and proceedings, internal and external investigations, changes in laws and regulations impacting company business and practices. Working closely with the board of directors, senior management, and business unit leaders to advise on general corporate matters, including company governance, operations, records management, and best practice.

BUSINESS ACUMEN
Strategic and action-oriented executive providing practical direction, leadership, and legal counsel to the CEO, CFO, and all parts of the business, including working cross-functionally with stakeholders across the company to proactively identify potential legal and regulatory issues and translate these into actionable solutions, with the ability to balance legal risks against business objectives.

Strong negotiator with superior verbal and written communication skills with the ability to communicate complex legal concepts in a clear, condensed, and concise manner to a variety of audiences.

Ability to work autonomously, multi-task, and perform effectively in a fast-paced environment as a strong team player who is able to work well in a group and with virtual, global, and cross-functional teams with unquestioned ethics and integrity.

Proven ability to establish and maintain professional business relations with clients, vendors and internal stakeholders to ensure a high quality of work and customer satisfaction.
